Indemnification Buyer shall indemnify and hold harmless Seller and Seller’s subcontractors and suppliers of any tier and all of its officers, agents, and employees from any loss, damage, liability or expense, on account of damage to property and injuries, including death, to all persons, including Buyer’s employees, arising or in any way growing out of the sale of any equipment and/or materials or the performance of any work under this agreement and shall defend at its own expense any suits or other proceedings brought against the Seller and Seller’s subcontractors and suppliers of any tier and its officers, agents, and employees, or any of them, on account thereof, and pay all expenses, including attorney fees, and satisfy all judgments which may be incurred by or rendered against them in connection therewith. 5. Relinquishment of Identification Buyer agrees not to advertise, sell, or otherwise dispose of the equipment and/or materials covered by this agreement as a Simplex Utilities Services product and will not use any Simplex Utilities Services identification in connection therewith.
